RUNSMART REFERRAL PROGRAM TERMS AND CONDITIONS

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. BY PARTICIPATING IN THE RUNSMART REFERRAL PROGRAM, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL TERMS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT PARTICIPATE IN THE RUNSMART REFERRAL PROGRAM.

ADDITIONAL TERMS

These Terms and Conditions govern your participation in the RunSmart Referral Program (“Referral Program”), operated by RunSmart Online, LLC (“RunSmart,” “we,” “our,” or “us”). These terms do not alter in any way the terms or conditions of any other agreement you may have with RunSmart for other products, services, or offers.

CHANGES TO TERMS

RunSmart reserves the right to modify or amend these Terms at any time. Any changes or modifications will be effective immediately upon posting the revisions to the website at runsmartonline.com, without any further notice to you. Your continued participation in the Referral Program confirms your acceptance of such changes or modifications. You are advised to review these Terms periodically.

ELIGIBILITY AND PARTICIPATION

The Referral Program is available to current RunSmart members who are at least 18 years of age and who maintain an active subscription. Referrals must be made using your unique referral link provided by RunSmart.

REFERRAL CREDITS

You may earn referral credits (“Credits”) when a referred individual (a “Referee”):

  1. Uses your unique referral link to sign up for a RunSmart membership, and
  2. Successfully converts from a free trial to a paid subscription. or
  3. Uses your referral link and renews a past subsription

REDEEMING CREDITS

  • Credits are not redeemable for cash: Credits cannot be exchanged for cash, nor can they be applied toward your RunSmart subscription fees.
  • Credits can only be redeemed for purchases in the RunSmart Shop/Online Store.
  • Partial Use of Credits: If your purchase is less than the total amount of Credits you have, the remaining balance will be retained in your account for future use.

CREDIT ISSUANCE

  • Credits are only issued after a Referee successfully converts from a free trial to a paid subscription. No Credits will be awarded for referrals who sign up but do not subscribe after the free trial period.
  • Credits will not be awarded retroactively for past referrals prior to your participation in the Referral Program or for purchases made outside of your unique referral link.

RETURNS AND REFUNDS

If a Referee cancels their subscription or requests a refund:

  • Credits will not be re-issued if a refund or item return is initiated for purchases made using Credits through the RunSmart shop/online store.
  • If any return is processed, the portion of the purchase covered by Credits will not be refunded.
  • If a referee requests a refund after successfully completing a payment, the credit will be deducted from the referrer’s account

PERSONAL USE ONLY

The Referral Program is intended for personal use only. Commercial use of the Referral Program is strictly prohibited. You may only have one RunSmart account and one participation in the Referral Program.

PROHIBITED CONDUCT

You may not use the Referral Program to violate any laws, infringe upon anyone’s rights, or create multiple accounts for the sole purpose of generating referrals. RunSmart reserves the right to disqualify any referrals in the event of fraudulent, abusive, or unlawful activity.

TRANSFERABILITY OF CREDITS

Credits are non-transferable and may not be shared with other accounts or individuals. Credits can only be redeemed by the original account holder who earned them.

TERMINATION AND DISQUALIFICATION

RunSmart reserves the right to suspend or terminate your participation in the Referral Program at any time if we determine, in our sole discretion, that you have violated these Terms, engaged in fraud, abuse, or any activity that is harmful to the interests of RunSmart.

NO AFFILIATION

Participation in the Referral Program does not create any partnership, employment, or agency relationship between you and RunSmart.

TAX LIABILITY

You are solely responsible for any tax obligations that may arise from your participation in the Referral Program, including the accrual and redemption of Credits.

GOVERNING LAW

These Terms and any disputes arising out of or relating to the Referral Program are governed by and construed in accordance with the laws of the state of New York, without regard to its conflict of law provisions.

SEVERABILITY

If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable, that provision shall be deemed severable and shall not affect the validity or enforceability of any remaining provisions.
